Clause I

Purpose

Virtual Recruitment Solutions ("VRS", "we", "us", or "our") is committed to conducting business ethically, professionally, responsibly, and with integrity.

This Code of Conduct establishes the standards of behaviour, professional expectations, ethical principles, and business practices expected of all individuals providing services for, representing, or otherwise acting on behalf of VRS.

The purpose of this Code is to support a culture of professionalism, accountability, respect, confidentiality, responsible decision-making, lawful conduct, and positive business relationships while protecting the interests of customers, candidates, contractors, business partners, and VRS itself.

This Code should be read alongside other VRS policies, including our Privacy Policy, Data Protection Policy, Anti-Discrimination Policy, Acceptable Use Policy, Fraud Prevention Policy, and other relevant governance documents.

   
Clause II

Scope and Application

This Code applies to all individuals who provide services for, represent, interact with, or otherwise act on behalf of VRS.

This includes directors, officers, contractors, consultants, support professionals, authorised representatives, suppliers, service providers, business partners, and any other individual engaged in activities connected with VRS.

The Code applies to all business activities, including customer interactions, candidate interactions, recruitment support activities, sourcing activities, onboarding activities, communications, remote working arrangements, marketing activities, social media use, use of technology, information handling, business development activities, training activities, and representation of VRS.

Compliance with this Code is expected regardless of location, working arrangement, or method of engagement.

   
Clause III

Our Values and Standards

VRS seeks to build long-term relationships based on trust, professionalism, reliability, transparency, accountability, and mutual respect.

Individuals acting on behalf of VRS are expected to conduct themselves in a manner consistent with these values and to exercise sound judgement, professionalism, and integrity in all business interactions.

Professional conduct should reflect positively on VRS and contribute to a culture that values ethical behaviour, continuous improvement, responsible decision-making, and respect for others.

   
Clause IV

Professional Conduct

Individuals providing services through VRS are expected to perform their responsibilities competently, diligently, responsibly, and professionally.

Professional conduct includes acting honestly, communicating respectfully, meeting commitments, managing responsibilities appropriately, exercising sound judgement, maintaining professional boundaries, and avoiding behaviour that could damage the reputation or credibility of VRS, its customers, candidates, contractors, suppliers, or business partners.

Misleading statements, dishonesty, reckless behaviour, inappropriate conduct, or actions that undermine professional trust are inconsistent with this Code.

   
Clause V

Respectful and Inclusive Behaviour

VRS is committed to fostering an environment in which individuals are treated with dignity, courtesy, professionalism, and respect.

Unacceptable behaviour includes harassment, bullying, intimidation, discrimination, victimisation, threats, abusive behaviour, offensive conduct, sexual harassment, retaliation, exclusionary behaviour, or any conduct that creates an intimidating, hostile, humiliating, or offensive environment.

Individuals are expected to engage with others respectfully, value diverse perspectives, and contribute to positive and professional working relationships.


    
Clause VI

Equal Opportunity and Fair Treatment

VRS supports equal opportunity and fair treatment principles.

Business decisions should be based on merit, capability, qualifications, experience, suitability, performance, legitimate business requirements, and other relevant considerations.

VRS does not support unlawful discrimination based on race, ethnicity, nationality, age, disability, religion, gender, sexual orientation, marital status, family status, political opinion, or any other protected characteristic recognised under applicable law.

All individuals should be afforded fair and respectful treatment throughout their interactions with VRS.

   
Clause VII

Integrity, Honesty and Ethical Conduct

Integrity is fundamental to the way VRS conducts business.

Individuals acting on behalf of VRS are expected to be honest, transparent, accurate, and ethical in their communications, decisions, representations, and actions.

Information should not be falsified, manipulated, concealed, misrepresented, or presented in a misleading manner.

Business activities should be conducted responsibly and in a manner that supports trust, accountability, fairness, and ethical decision-making.


   
Clause VIII

Conflicts of Interest

Individuals must take reasonable steps to identify, avoid, disclose, and appropriately manage actual, potential, or perceived conflicts of interest.

Conflicts may arise where personal interests, financial interests, relationships, outside business activities, competing obligations, or other circumstances could improperly influence business judgement or decision-making.

Any situation that may create a conflict of interest should be disclosed promptly so that appropriate steps can be considered.

Individuals must not use information, opportunities, relationships, or resources obtained through VRS for personal gain where doing so conflicts with legitimate business interests.

   
Clause IX

Confidentiality and Information Protection

Individuals providing services through VRS may have access to confidential information belonging to customers, candidates, contractors, suppliers, business partners, or VRS itself.

Confidential information may include candidate information, recruitment records, customer information, commercial information, pricing information, business plans, operational information, system information, communications, sourcing information, strategies, methodologies, intellectual property, and personal information.

Such information must be protected appropriately and must not be disclosed, copied, transferred, discussed, distributed, or otherwise made available to unauthorised parties.

Confidentiality obligations continue beyond the end of a business relationship unless disclosure is authorised or required by law.

   
Clause X

Privacy, Data Protection and Security

All individuals are expected to support responsible information handling and comply with applicable privacy, confidentiality, security, and data protection requirements.

Personal information should be accessed only where necessary, handled responsibly, protected from unauthorised disclosure, and processed only for legitimate business purposes.

Information security controls, customer requirements, confidentiality obligations, and VRS policies should be followed when accessing, using, processing, or storing information.

Any suspected privacy incident, security incident, data breach, or unauthorised disclosure should be reported promptly.


   
Clause XI

Recruitment Ethics and Responsible Practices

Recruitment-related activities should be conducted ethically, professionally, responsibly, and in a manner that supports trust and fairness.

Candidates should be treated respectfully, communications should be honest and accurate, information should be represented fairly, and recruitment activities should be conducted without deception, manipulation, or discriminatory practices.

Candidate qualifications, experience, suitability, and professional information should never be intentionally misrepresented.

Recruitment records, candidate information, and sourcing activities should be handled responsibly and in accordance with applicable privacy and confidentiality requirements.

   
Clause XII

Customer, Candidate and Business Relationships

VRS values long-term relationships built on professionalism, transparency, reliability, and trust.

Individuals representing VRS should seek to build positive relationships through respectful communication, responsiveness, accountability, and professional conduct.

Customers, candidates, suppliers, contractors, and business partners should be treated fairly and professionally at all times.

Actions that undermine trust, damage relationships, create unnecessary conflict, or negatively impact the reputation of VRS should be avoided.


   
Clause XIII

Anti-Bribery, Corruption and Improper Conduct

VRS maintains a zero-tolerance approach to bribery, corruption, kickbacks, facilitation payments, improper inducements, fraud, and unethical business practices.

Individuals must not offer, request, authorise, provide, accept, or facilitate any payment, benefit, gift, favour, hospitality, or advantage that could improperly influence a business decision or create an appearance of impropriety.

Business decisions should be based solely on legitimate business considerations and professional judgement. Any suspected improper conduct should be reported promptly.

   
Clause XIV

Use of Technology, Systems and Digital Resources

Technology, systems, platforms, software, devices, accounts, and digital resources should be used responsibly, securely, and only for legitimate business purposes.

Individuals must not access unauthorised systems, circumvent security controls, share credentials inappropriately, install unauthorised software, misuse customer systems, engage in unlawful activity, compromise information security, or use technology in a manner that creates unnecessary risk.

Customer systems should be accessed only within authorised permissions and for approved purposes.

   
Clause XV

Artificial Intelligence and Automation

Artificial intelligence and automation technologies may offer valuable productivity benefits when used responsibly.

Where such tools are utilised, individuals must ensure that their use complies with customer requirements, confidentiality obligations, privacy requirements, security standards, intellectual property protections, and applicable laws.

Confidential information, personal information, candidate information, customer information, or commercially sensitive information should not be entered into AI tools unless authorised, appropriate safeguards are in place, and such use is consistent with applicable obligations.

Outputs generated by AI systems should be reviewed critically for accuracy, bias, confidentiality risks, appropriateness, and reliability before being relied upon or shared.

   
Clause XVI

Social Media, Public Statements and Brand Representation

Individuals should exercise sound judgement when discussing VRS, its customers, candidates, contractors, suppliers, or business activities in public forums, social media platforms, online communities, conferences, events, or other public settings.

Unauthorised public statements should not be made on behalf of VRS.

Confidential information must not be disclosed through social media or other public channels.

Individuals should avoid conduct that could reasonably damage the reputation, credibility, commercial interests, or professional standing of VRS or its stakeholders.


   
Clause XVII

Health, Safety and Wellbeing

VRS supports safe, respectful, and healthy working environments.

Individuals are encouraged to conduct activities responsibly, take reasonable care for their own wellbeing and the wellbeing of others, and avoid behaviour that may create unnecessary health, safety, security, or wellbeing risks.

Concerns relating to safety, wellbeing, security, or inappropriate conduct should be raised promptly where appropriate.

   
Clause XVIII

Reporting Concerns and Speaking Up

VRS encourages the reporting of concerns relating to misconduct, unethical behaviour, policy breaches, discrimination, harassment, security incidents, fraud, corruption, privacy issues, confidentiality breaches, or other inappropriate conduct.

Reports should be made promptly through appropriate channels.

VRS seeks to handle reports fairly, responsibly, confidentially, and without retaliation wherever reasonably possible.

Individuals raising genuine concerns in good faith should not be subjected to retaliation for doing so.

   
Clause XIX

Breaches of this Code

Failure to comply with this Code may result in corrective action, additional training requirements, access restrictions, removal from particular activities, termination of contractual arrangements, reporting to customers, reporting to regulators or authorities where appropriate, legal action, or other measures considered necessary in the circumstances.

The response to any breach will depend upon the nature, seriousness, impact, and circumstances of the conduct involved.

Review and Contact Information

This Code may be reviewed, updated, amended, or replaced periodically to reflect changes in legal requirements, industry standards, customer expectations, business operations, technology, or governance requirements.
